An assessment against a subsidiary can justify re-auditing the parent
Desk audit. The "different facts" justifying a second or subsequent audit of a controlling company may be based on an assessment issued to its controlled companies (article 53-C of the Federal Tax Code).
Official heading (Spanish): REVISIÓN DE GABINETE. LOS "HECHOS DISTINTOS" QUE JUSTIFICAN LA EMISIÓN DE UNA SEGUNDA O ULTERIOR REVISIÓN A UNA EMPRESA CONTROLADORA, PUEDEN SUSTENTARSE EN UNA LIQUIDACIÓN DIRIGIDA A SUS EMPRESAS CONTROLADAS (ARTÍCULO 53-C DEL CÓDIGO FISCAL DE LA FEDERACIÓN).
The ruling
A controlling company challenged a second desk audit for the same period and tax, based on an assessment issued to one of its subsidiaries. The District Court granted the amparo. The Collegiate Circuit Court reversed: under article 53-C of the Federal Tax Code, that assessment is a valid different fact, given the duty to file an amended consolidated return.
Our take
The ruling rests on the tax consolidation regime in force in 2011, but its logic reaches any group: what the authority assesses against one entity can reopen the audit of another. For groups that consolidated, exposure for old years remains alive while subsidiaries are in litigation. Coordinate the defense of all entities instead of treating each audit as a stand-alone matter. The remaining defense angle is to verify that the facts are genuinely different and actually affect the parent's result.
What to do
- Coordinate the tax defense of all group entities under one strategy.
- Map which subsidiary assessments could change consolidated results for prior years.
- When re-audited, verify that the facts cited are genuinely different and material.
