A company's tax domicile must be where it is actually managed

Tax domicile of legal entities. Requirements that must concur for it to be satisfied [interpretation of article 10, section II, item a), of the Federal Tax Code].

Official heading (Spanish): DOMICILIO FISCAL DE LAS PERSONAS MORALES. REQUISITOS QUE DEBEN CONCURRIR PARA SU SATISFACCIÓN [INTERPRETACIÓN DEL ARTÍCULO 10, FRACCIÓN II, INCISO A), DEL CÓDIGO FISCAL DE LA FEDERACIÓN].

The ruling

In an appeal arising from the verification of a change of address, the Collegiate Circuit Court held that, under article 10, section II, item a), of the Federal Tax Code, a legal entity's tax domicile requires two elements: it must house the main seat of administrative management or business operations, and the authority must be able to verify tax compliance there.

Our take

The ruling defuses addresses of convenience. It distinguishes the tax concept from its civil and commercial counterparts: providing services or receiving mail there is not enough; it must be where decisions are actually made and where the authority can exercise its powers. Companies using virtual offices, business centers or their accountant's address should take note, as should groups whose real management sits elsewhere. We recommend checking whether the registered address passes both tests and, if not, regularizing it before the authority challenges it in a verification.

What to do

  • Confirm that real management operates from the tax domicile and that verifiable records are kept there.
  • Review any use of virtual offices or third-party addresses as the tax domicile.
  • File a change-of-address notice when the main administration has moved elsewhere.
